USA: Constellation Brands Acquires SpikedAde for Up to USD 353 Million

Constellation Brands announced the acquisition of SpikedAde, a US-based vodka-based ready-to-drink (RTD) beverage brand, on October 6, 2026. The transaction includes an initial payment of USD 75 million for 100% ownership of the business, plus potential performance-based payments totaling up to USD 278 million over the following five years. If all performance targets are achieved, the total purchase price could reach USD 353 million. The acquisition marks another step in Constellation's strategy to diversify its beverage alcohol portfolio beyond traditional beer, wine, and spirits.

SpikedAde was launched in New Jersey by founder and CEO Jason Cohen in 2025 and competes in the emerging sports drink-inspired alcoholic beverage segment. Its non-carbonated, vodka-based drinks contain 4.5% alcohol by volume, zero sugar, and 100 calories per 12-ounce (355 ml) can. Available in four flavors – Electric Blue, Electric Red, Electric Green, and Electric Orange – the brand has established a growing distribution footprint across the eastern United States.

The acquisition also illustrates the increasing overlap between traditional beer distribution and alternative alcoholic beverages. SpikedAde's team will be integrated into Constellation's Beer Division, with the parent company assuming responsibility for production oversight, marketing, and distribution. Constellation intends to align the brand with its existing Gold Network beer distributor partners, subject to applicable regulations. This would allow SpikedAde to benefit from an established distribution infrastructure and could accelerate its expansion into additional US markets.

The emerging alcoholic "Ade" segment is attracting attention from beverage companies seeking growth beyond conventional beer and spirits categories. According to VinePair, SpikedAde ranks second in the segment behind Super Lyte, which holds approximately 65% of off-premise sales. The broader spirit-based RTD category recorded a 25% increase in dollar sales during the 52 weeks ending August 30, 2026, according to data from market research company Circana cited by Constellation.

Constellation President and CEO Nicholas Fink described the acquisition as an opportunity to build on SpikedAde's early market momentum and extend its national reach. For Constellation, whose US beer portfolio includes Modelo Especial, Corona Extra, and Pacifico, the transaction provides access to a fast-growing segment without requiring the development of a new product platform from scratch. The substantial performance-linked component of the purchase price also limits the company's initial financial commitment while leaving significant additional payments dependent on SpikedAde's future success.
